6. CSR Implementation
CSR activities shall be carried out directly by Kamalabhawan or through partnerships with registered NGOs, trusts, Section 8 companies, or social enterprises.
The CSR Committee, constituted by the Board of Directors, will be responsible for planning, budgeting, monitoring, and reporting CSR activities.
Priority will be given to communities located near our operational areas, but we remain open to initiatives across India.
7. CSR Committee Roles & Responsibilities
The CSR Committee will:
Formulate and recommend the CSR policy to the Board.
Recommend annual CSR activities, budgets, and implementation strategies.
Monitor the progress of CSR activities and ensure compliance with legal requirements.
Prepare and present annual CSR reports as per statutory guidelines.
8. CSR Budget & Expenditure
In line with Section 135 of the Companies Act, 2013, at least 2% of the average net profits of the preceding three years will be allocated towards CSR activities annually.
Any surplus arising from CSR projects shall not form part of business profits but will be reinvested into CSR activities.
Administrative overheads related to CSR will be capped as per statutory limits.
9. Monitoring & Evaluation
Each CSR initiative will have defined objectives, timelines, and measurable outcomes.
Regular audits and field visits will ensure proper implementation.

11. Exclusions
The following activities will not qualify as CSR expenditure:
Projects undertaken outside India.
Contributions to political parties.
Activities that benefit only employees or their families.
Sponsorships for marketing or brand promotion that do not have wider community impact.
12. Employee Engagement in CSR
Kamalabhawan encourages employee volunteering in CSR initiatives.
Staff will be given opportunities to contribute their time, expertise, and skills to community programs.
